If you read the S-1, it is clear that JV is over for all practical purposes. They are still talking with Timwell but based on the language used, they are not expecting to go anywhere. Hence, there is an offering. The only thing that may be positive (for the post) there are sentences that hint presale of some of the offering shares. If I am not mistaken, their price will be higher than current pps (one of the warnings listed in S1 was saying that if one buys in this offering, that person will be immediately at a loss. Furthermore, some of these shares in this offering can't be traded in open markets).

I am trying to determine what to do next (while mcussing at myself since I didn't take any action while it was becoming more and more clear that JV will not happen)
