Why were 32 million shares issued to Patient Trac, Inc. in a Section 3(a)(10) exemption case for the relief of bona fide debt? These shares were immediately free trading.

Besides purchasing the hijacked shell off of Adam S. Tracy how was H. Wayne Hayes (Patient Trac, Inc.) entitled to this debt relief via the issue of free trading shares?
