1. The max would be 800:1, not 1000:1

2. "Gene can then sell 1 million shares" is inaccurate -- Gene can't "sell shares" because there are no buyers. Gene borrows money and the lenders convert the debt to stock. BIG difference. The R/S and A/S increase are being done to enable convertible debt.

3. The R/S and A/S increase are also being done so Directors and Officers can convert and dump. If you look at page 31 of the proxy, you will see that the Imhoffs and Faupel have the equivalent of OVER a billion common shares after conversion/exercise.

4. After the R/S and A/S increase, Gene will offer more convertible debt, but 1 million shares would not generate $1 million dollars. GTHP has to give it away at a substantial discount below the average closing price during a defined period (as do ALL zombie biotechs).

So... 100% wrong on every point.
