(a) the Conversion Price and (b) 87.5% of the lowest volume weighted average price for our Common Stock as reported at the close of trading on the market reporting trade prices for the Common Stock during the five trading days prior to the date of the notice of conversion. In the case of (ii)(b) and (iii)(b) above, the share price shall not be less than $0.48 (the “Floor Price”). Each of the Conversion Price and Floor Price is subject to adjustment in certain circumstances.



I`m going to need direct links and quotes on where you read about this dividend lowering floor price on this deal below .48. What you previously posted is vague and appears in the filing with no obvious correlation to this $15 million offering. From what I've read there is no indication that there is a "dividend" that allows conversion under .48. Maybe with previous deals that are still converting. The proof you offered when questioned is not leading me to buy this. You might have well just posted: "just read all the sec filings front to back. It's in there".

I've seen this tactic used recently. Not naming names you know who you are. If you cant post proofs to back up your claims, You might as well just sacrifice your credibility upon the alter and save yourself some time as far as Im concerned. Not meaning to be offensive on this.
