Dear Sir or Madam:

This correspondence shall confirm that this firm has been retained by New Colombia Resources, Inc. (the “Company”), for corporate and securities representation, including the preparation and filing of a Form 10 Registration Statement ( “Form 10”) with the Securities and Exchange Commission.

Since such engagement, the Company has begun to provide us with pertinent information required to prepare the Form 10. We are currently awaiting for the Company to provide us with its audited financials for the last two fiscal years and auditor reviewed financials for the completed fiscal quarters subsequent thereto, together with additional information and documentation that we have requested in connection with the preparation of the Form 10.

with regard to the financials, John states this: Auditors should be wrapping up 16 and 17 so we can file the Form 10. Attorney is waiting for audits to file, I expect them to be complete this week or next. I don't' mean to keep singing the same song, but you asked. Just know this, NCR is making every effort to re-list in the U.S. and dual-list on a major foreign exchange to develop our Guaduas property and roll up as many met coal mines as possible. I've traveling around the country talking to miners I plan to roll up as soon as NCR is listed.
