Some info. I found interesting from the sale.

"Seller shall defend, indemnify and

Actions involving Trace Cawley and any Actions disclosed on Schedule 3.8; and

(j) that certain Distribution and Marketing Agreement, effective as of April 14, 2016, by and between Amedica Corporation
and Shandong Weigao Orthopedic Device Company Limited

So who is Trace Cowley? 30 US spine patents are inherited by CTL through US spine. Most of these patents have Trace's name in them.

Possibly why Amedica was not able to fully utilize the US spine acquisition. They could not get dragged through the court process.

His most recent role was as a founder and officer of a spinal implant manufacturer, where he helped build the team and the company from start-up to commercialization of products with annual sales in excess of $20 million. The company was recently acquired for $45 million.

That's $20 million in unrealized potential + growth as well as the first instance of the published purchase price I've come across. Obviously US spine does not deserve to sit in purgatory. Sacrificing this for that cash in hand and a spot on the board of directors at Amedica And CTL now inherits any legal issues that may arise from whatever Trace's problem is. (Seriously doubt Amedica not holding CTL responsible will hold up in court, If this is a personal IP issue with Trace.)
