How do you casually dismiss a +200mm NOL shell



Because under both Canadian and US law, the NOL's are essentially worthless to any potential acquirer. They have no significant value, if any, and certainly much less value than the huge amount of unpaid debt and liabilities that would come as a package for anyone trying to acquire the NOL's.

Governments don't like being cheated out of taxes, so they have made the ability of a purchaser to utilize the past NOL's of an acquired company almost impossible to use.

If they didn't, then why don't we see EVERY profitable public company immediately swooping in and buying up the stock of other bankrupt companies? Why doesn't Google or Microsoft automatically buy any of the hundreds, if not thousands, of failed tech companies? And why didn't PwC receive ANY bids for the stock during the SISP process? Certainly one of the hundreds of profitable chemical companies could use those NOL's, right?

"Although the SISP generated interest in the Assets, at the conclusion of the SISP, the Company did not receive any binding offers to purchase the Company as a going concern."

No offers. No one is buying the BIOAQ common shares.
