Effective June 30, 2018, by resolution of the Company’s Board of Directors and by written
consent of a majority of the Company’s shareholders eligible to vote, the Company determined
to spin off its operating subsidiaries: Haydin Group Enterprises, Expressions Property Limited,
LP and Expressions Chiropractic and Rehab Center, PA as private entities and thereby
unwinding the respective share exchange agreements entered into on January 5, 2016.
