Call the SEC to be certain but what I know is to be a 5% holder, you have to own 5% of the authorized as that is the entire company. The float is only a portion of the company currently in the market. The rest is held in reserve to allow the company to generate capitol for expenses at future dates. This SS also makes it impossible to buyout the company on the open market as there are not enough shares to buy up as others have commented on.
