Kim was provided false and misleading information about NGCG when he purchased the company - Kalisky was in his ear.

Kalisky force feed him the Viking deal - Kim asked me to read the contract - I had one person from Viking removed and provided a "weasel" clause for Kim to extricate the company from the contract.

After more DD I found that Kalisky was a shareholder in Viking. That was the beginning of the end of the Kalisky controlling Kim.

Kim was in over his head when he was coerced into buying NGCG - Ross/Kalisky thought he was a rube they could control.

I did the DD on the Ruppert lawsuit and found all or most of the fraud in the complaint.

After DeTomaso I don't think Kim had any idea on what to do.

The reverse split was to take Kalisky out - Kim without any understanding of securities law didn't fully understand that it would do irreparable harm to all shareholders and there wasn't any recourse to remunerate shareholders other than Kalisky.

If I were Kim I would say eff it and not spend another penny defending the company. Why should he do it?
