They are selling both US and Canada but the Canadian debt cannot profit from the US assets.

The buyer is buying it all, that is no problem.

The debts owed can only be paid by the Canadian side i.e. sale of the plant, will pay the debt, the US side is all profit or less the debt on the US side.
