Good question. I’m waiting to read the criminal charges which may explain it more thoroughly.

This part is enlightening, looks like the SEC understands Goldberg quite well:

A microcap issuer of publicly-traded stock and its chief executive officer, respectively— issued materially false press releases to fraudulently induce investors to buy Ovations stock.
