Because he is not a CFO; he may be a good doctor but he is wearing way more hats than he has head space for. Thus the poor communication etc etc etc... poorly ran company is a much easier and believable explanation than the razor thin “merger delayed for some reason.” This much delay would be more like collusion and illegal activity between companies.
