Annual Meeting of Shareholders
Shareholders are advised that Tonogold will be holding its Annual Meeting of Shareholders on Monday, September 24th, 2018 at 11.30am.

The meeting is scheduled to
be held at the Gold Hill Hotel (Virginia C
ity), Nevada some 40 minutes’drive from Reno and the location of our Lucerne gold project. Further details of the meeting, proposed site
tour and management presentation together with details on how to participate remotely,will be made available shortly.

It is expected that the Notice of Meeting and Proxy circular
will be posted to shareholders within the next two weeks.
