My take is no change in share ownership of 5%. If 5 or over, they equals ownership change., NOLs are void or reduced.

However, TGIC can merge into another profitable company...”reverse merger”. TGIC is the surviving company. TGIC could issue debt to the company they take over to get more capital.

It’s been done a bunch. A lot cheaper fir a small company wanting to go public.
