Because there's no magic solutions coming in the post reverse split era that couldn't have been implemented or accomplished without the need of a reverse.

This is not a reason why Boyd should try to avoid RS.

RS does not affect market cap. It's all the same to him if he can have 10 shares for 3$ now or 1 share for same 3$ after 10:1 RS. Price for the whole company would be exactly same.

Share price tends to go down after RS, because it might even be better for him if RS is done.

I can't see any reason why he should try to avoid it if we look the situation from his direction.

If/when Boyd wants to play this towards his point, he takes RS, waits for the offering and then drives price bellow offering price to make it not go well. It forces Odidi to give up, because he can't get any more money to play with.

Boyd will drive this in a situation, where none else but he will give IPCI more money. Then he is going to be driving this bus.

This will be "game over" for Odidi if he takes offer money or not.

Only risk with this plan will be if something exceptionally good thing happens to IPCI. Some new approval or generous offer from some other direction. As we all quite well know, this risk is somewhere next to zero.
