My assumption is they want to sell their shares for the highest price possible. If they can announce a deal, even one that never closes, I would expect them to be dumping into the spike. In a sense they have "announced" a deal, buried in the 10Q. If / when they issue a PR, that will be a place I would expect mgmt to unload some of their holdings.
