The Company is currently considering options for the reorganization of the Company, specifically a “Type D” divisional reorganizationor “split-off”. In the Annual Shareholders’ meeting held onJune 26, 2018, the shareholders authorized the board to 1) transfer assets, liabilities, etc. to a new private entity in which current shareholders acquire pro-rata number of shares in the new entity, and 2) enter into a share exchange/
purchase and merger agreement for 100% of the outstanding shares of the current public company.Authorization was
approved by 71.7% of the votes represented by total issued and outstanding share (2/3’s vote required).
