Good morning Vinay,

1. In the latest report it is mentioned that the terms and conditions to place a bid will be finalized shortly so can you please let me know few of them which are mandatory to place a bid
Please see attached document for the terms and conditions of the asset sale.

2. Does the liquidation plan includes both tangible and intangible assets or is it only the physical assets that are being liquidated?
At this stage, we have included the intangible asset as a separate lot. In the end, we will select the bid combination which maximise cash value. Therefore, if a liquidator decides to bid more for the assets and is only interested in the physical components, then only the physical assets will be liquidated and the intangibles will be discarded.

We believe the intangibles of the company cannot operate independently from the physical facility (Mainly trademark, patents, trade secrets).


3. Also in the previous email you mentioned that solicited parties were asked to bid on different lot so does that mean the company is being broken down in to different lots and sold to maximize the value of the assets?
We are open to all combinations. Bidders have the choice to bid on different lots, but if a strategic is still interested in paying more for the overall company, then we will choose that one.
