There are any number of ways to do it. One of the easiest would be to just do as you said, and do it like a dividend or stock split. Issue new shares to the new entity and reverse split existing shares to the desired percentage ownership. But it would just be a gift of generosity on the part of the new owner. No obligation to do so whatsoever.
