I don't get why VCPS bothered to file an nt-10k if they didn't plan on following up 15 days later. It would make sense if they used those 15 days to unload shares before going dark, but not that many shares traded hands during that time.

From 05/30 to 06/15, VCPS had 56,185,000 in total volume. The following Monday 6/18, VCPS had 50,621,110 volume in ONE day. The volume then fell off completely as the company went dark.

I haven't seen any Form 15-12G filed to allow for suspension of reporting obligations to the SEC, and no followup after their nt-10k two months later. Combine all this with the ask increasing to almost 500 million and I would say this is finally toast.

If the subject report could not be filed without unreasonable effort or expense and the registrant seeks relief pursuant to Rule 12b-25(b), the following should be completed.

[X] (a) The reasons described in reasonable detail in Part III of this form could not be eliminated without unreasonable effort or expense;

[X] (b) The subject annual report, semi-annual report, transition report on Form 10-K, Form 20-F, 11-K or Form N-SAR or Form N-CSR, or portion thereof, will be filed on or before the fifteenth calendar day following the prescribed due date; or the subject quarterly report or transition report on Form 10-Q, or subject distribution report on Form 10-D, or portion thereof, will be filed on or before the fifth calendar day following the prescribed due date; and

(c) The accountant’s statement or other exhibit required by Rule 12b-25(c) has been attached, if applicable.

The Company could not complete the filing of its Annual Report on Form 10-K for the period ended February 28, 2018, due to a delay in obtaining and compiling information required to be included in the Company’s Form 10-K, which delay could not be eliminated by the Company without unreasonable effort and expense. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the Company will file its Form 10-K no later than the fifteenth calendar day following the prescribed due date.
