NOTE 6 – LICENSE AGREEMENT

License Agreement

Term

The license agreement is for a term of twenty (20) years. The Company has the right to renew the license agreement for successive ten (10) year period by paying $1,000,000 for each new term.

Payments/Royalty

The Company shall pay a royalty equal to Seven and One Half Percent (7.5%) of the Gross Revenue from the licensed products. Gross revenue is defined as total revenue minus discounts and allowances. In addition to the royalty, the license requires that the Company pay a $7,500 monthly fee beginning twelve (12) months from the execution of the license agreement. Thereby the fee shall begin on June 1, 2015.

NOW THEREFORE, in consideration of the promises and of the mutual covenants herein contained and other good
and valuable consideration, the sufficiency of which is hereby acknowledged, the parties hereto hereby agree as
follows:
Paragraph 1: Vortex shall acquire 100% of all the outstanding and issued shares of Sagan:
Paragraph 2: Sagan shall become a wholly owned subsidiary of Vortex
Paragraph 3: Vortex shall change its name to SL Corp.
Paragraph 4: The business of the company shall be building labs to testing services to the marijuana industry in
Ohio and other states.
Paragraph 5: The shareholders of Sagan Labs shall receive preferred stock in exchange for their shares of Sagan
Labs.
Paragraph 6: The acquisition shall close on or about July 30, 2016
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed the day and year first
