Without any information from the company/Brian, it’s pretty easy to assume the worst. But let’s take a step back for a minute...

The amount of new shares issued resulted in the OS going up by 28.5M.

current OS 317,239,161 - previous OS 288,661,657 = 28,577,504 increase.

22,674,917 of which are restricted.

5,902,587 went someplace (probably to facilitate the transaction).

Current unrestricted per OTC Markets is 294,564,244 (=previous OS + 5,902,587).

So the free trading shares only went up by 5.9M

Now the thing I find most interesting is that the number of newly issued shares is almost exactly 10% of the previous OS. Not a coincidence in my mind.

Obvious question is: what types of reasons would you issue 10% ownership (restricted) in the company?

Restricted stock to pay bills? Highly unlikely.

Everyone has always had an issue with Brian not having a vested interest... could have he finally taken a stake of common shares? Maybe.

Is it possible he formed some type of new partnership with another company, and issued a 10% stake to the other principal for the new venture? Maybe.

Could it be a merger or acquisition where the other company’s president is getting 10% common share stake of combined entity? (Brian currently has zero, so 10% isn’t that unreasonable). Maybe.

Everyone here knows I have been especially critical of Brian’s lack of communication to shareholders, and what I feel is a lack of disclosure on the settlement agreement to sell the EV network. I also think the PPS being down 50% off recent highs is a direct result of his failure at the most basic of communication... practically any type of update over the last 3-6 months about business as usual, or new start after settlement, and the PPS would be above a penny, and long time shareholders wouldn’t be bailing out of frustration.

However, that said, I do not believe that the share increase is for any nefarious reason to screw over shareholders. If you were going to dump shares, why not issue 100M? Issuing exactly 10%, in addition to the fact they are restricted, makes me think it’s a one time deal for something specific.

I guess we have to wait for an update from the company to know for certain the actual reason for share increase, and what the plan will be moving forward. I’m not holding my breath, but it sure would be good to get a PR or shareholder letter sometime before the Q2 financials are due in a couple weeks.
