4. The professional services that Polsinelli are to render are as follows: to represent the bankruptcy estate regarding the sale and disposition of the debtor's wholly owned subsidiary. Acceptance Insurance Company, Inc. and/or a surplus note and any assets related to such subsidiary.


Fees and Expenses will be billed on an hourly basis. Payment will occur after the closing of the sale and will be subject to approval by the Bankruptcy Court.
