Shell Hijackings

I came across a new shell hijacker tonight named Dempsey K Mork (Magellan Capital Partners)

He is interesting because he has this weird habit of moving his hijacked shells to Wyoming then moving them back to Nevada


For example TLDN

Mork hijacked it in 2017 as Tec Technology Inc in Nevada. He reinstated it in Nevada on 11/8/17 then less than 2 weeks later he moved it to Wyoming on 11/20/17

After he moved it to Wyoming he changed the name to Telidyne Inc and then filed a corporate action request with FINRA for the name change and a reverse split

FINRA approved the name change and reverse split all without Mork doing a single OTC filing for the long abandoned shell

After FINRA approved his name change to Telidyne Inc, Mork moved the shell back to Nevada and sold it

Mork advertised it as a volunitary filer even though TLDN filed a Form 15 in 2012 voluntarily de-registering the stock



Another example is GOHG

Mork hijacked GOHG in 2017

Then in February 2018 he moved it to Wyoming

This time according to his website it was moved to create a holding company to eliminate prior liabilities

Then it was moved back to Nevada as Cambridge Corporation (even though Mork never gave it the name Cambrige Corporation in Wyoming)

I assume he has filed a corporate action request with FINRA for approval of the name change to Cambrige Corp and a 1:1000 reverse split

Mork hijacked the shell in January 2018

Then he moved it to Wyoming the same time as GOHG in February of 2018

WCYN is a delinquent SEC filer and he still has it listed for sale on his website

Mork hijacked the shell in 2017

He changed the name to Oxford Corp then moved it to Delaware

I honestly am not sure what is going on here. He sold the shell but i dont know if it was sold before or after it was moved to Delaware. And i'm not sure what corporate action requests he is trying to get approved by FINRA (just a name change or a reverse split too?)

This one got a fair amount of interest on the message board and social media





And finally there is GTCP

Mork gained custodianship in the Clark County courts but has yet to reinstate the entity in Nevada or put it up for sale

For two of the shells Dempsey Mork used attorney Brian E Lunt for the custodianship petition. For the others he filed his custodianship petition pro se.

Dempsey Mork knows a think or two about dead shells. He was involved in a few penny stocks years back including:

And he was a large shareholder in Western Lucrative Enterprises Inc (WLUC) for a number of years until he was elected as its sold officer/director in December of 2017. Mork quickly flipped the shell for $325,000 in January 2018.
