A 15-12G for an active company just means that they don't want to spend the money on audited financials every year, or the costs of regular 10Q filings.

Bottom Line: No real effect on trading.

However, when a company that has had very little activity files a 15-12G, it signals an attempt to keep the company alive.....and an attempt to keep the SEC from killing the company.......in that case, the stock price will often surge.......
