Read up on a Reg A SMH. Its an offering for shares. There is no investment at all.

Brad wants $1 million so Cardin gives it to him for shares at a 30% discount. Those shares are instantly sold intot he market. So now Brad has his Million and Carden has $1.3 million. Thats how all offerings work. SMH
