It’s unlikely there will ever be an issuance to Triton. The most recent EPA they did with DGTW had (among other requirements that would allow quick sale once issued) was a requirement that the pps remain above one penny. They obviously don’t want to risk clearing issues for a suboenny stock.

For that reason alone I doubt the BVTK equity purchase agreement will ever actually happen here.

But it would be interesting to see what comments the SEC would make on a BVTK S-1...and that single supervoting share issuance would be a great place to start.

But the bottom line is Triton will not be buying a single restricted share from BVTK that it can’t sell within 5 days.
