$2m in revenue doesn't mean a profit. Did they have a profit last year? In the last 3 years? If the profit was good why were they trying to sell the business and why where they looking for a partner to share that profit with? I had a conversation with Mario back in Sept. and he sounded pretty desperate to make a deal.

Remember that when someone tries to convince you to buy or sell there is something in it for them. It's not because they are concerned about your investment.
