Poison pill is just a theory but the S-1 talks a bit about unfriendly acquisition so I think it’s worth considering. I’m not familiar with hostile takeovers but don’t they require as little as 5% ownership to submit a schedule TO?

This could explain why this offering has the potential of some 85+% dilution. Suddenly 5% ownership becomes 1% or less.
