That is an interesting point that I overlooked. Does anyone know the terms of the capital raise? Was it non-dilutive or did it involve issuance of stock (or a conversion to stock option if payment terms weren't met?)

Also, I hear what you're saying, its not technically dilution until the shares are actually outstanding, but there are two main reasons a company increases the number of shares. To keep, or regain control of the stock (i.e. own majority shares) or raise money.

Since majority ownership of shares is safely in the hands of the folks the company wants to have it, selling shares to raise money (i.e. dilution) becomes the more likely intent.
