If memory serves Blüm/oak was bought in Jan '16 for 1.5x future 12 month earnings. At the time of sale they were making roughly 14 mil per year, so that would put the sale price around 21 mil plus the increase in earnings per the following year minus the "clawback" (that's 1,027,304 preferred shares or 5,531,339.19 common shares returned to the company by DP and Nahass)

The Company disputes the VandeVrede’s allegations in the lawsuit and intends to vigorously defend itself.
