I have to give Triton some credit, that approach will be much less risky for them. As long as they sell within the 5 days between share delivery and the closing they will bear little price risk.
Their approach is also more closely aligned with other typical penny financing deals.
Cellucci just gets to make it look like an equity sale...but all it is doing is letting Triton make a profit as it passes through them into the open market.
Now all BVTK needs to do is file an S-1 and let the SEC pull out the microscope...
