new or news? 3(a)(10) settlements (i am pretty sure) date back to at least the early 1980s, but have been used more often in recent years (per that article) as a form of equity financing.

after the SEC vs alpine case there was some speculation they would be a suitable workaround for volume limitations on conventional convertible note financing, but that doesn't seem to be the case.

this is a positive for shareholders imo.

but 3(a)(10) are, from what i've heard, also required to adhere to the .01/share price minimum, and that raises other questions.

overall, they don't seem to be much different from conventional notes.
