When a custodian sells his "shell" and a RS happens,its the newco that does it to wipe out old shareholders in the "shell" that have no skin in the new game.This is why guys like Arcaro like $$ for the shell no shares.The people who actually invested in the newco with paid in capital don't want competition in the market from old shareholders so they make sure there will be a RS.All of these deals are "shell" deals and all shell deals are sketchy to a degree.
