The phrase is "do not expect to have funds".

Maybe they do not expect to have funds because they are now going to use the funds that were designated to fund the shareholder meeting to finance the lawsuit. No sense in having a shareholder meeting now...

Board members could also fund the lawsuit through personal loans to company. Obviously they had no indication this lawsuit was coming, they wouldn't have scheduled a shareholders meeting if they did. If it were me, I'd be pretty angry right now.
