Correct on the $150k incentive, which can also be earned if he secures $20M+ via a licensing deal.

Incorrect on the part about "no downside". The new CEO is heavily loaded with options priced at $1.62. So, if he does a dilutive financing transaction priced significantly below $1.62, he runs the risk of damaging his position with his options. PPS could certainly recover over time, but he's motivated to keep his options in the money.
