Ok so you were partially correct but you didnt really look at what the information really meant (you probably didnt know which is understandable). The issue is that they are a DE corp and its a very common issue with filing the taxes correctly. I have seen this many times. If you do not account and file a certain way then your taxes are through the roof because DE does it differently than most states. They do it by share count and they charge a lot. this is why they probably changed their domicile. Now if you look at the dates the company dissolved March 1st, it was due to not filing the tax documents yet (they have 1 year). SO this is VERY interesting because the company only let the status go 30 days ago! The reality is that when they refile their taxes correctly based on a specific value (probably par value)they will end up only owing a couple thousand dollars. They probably let it go because it really doesnt matter if they are merging but the interesting thing is that this would mean that they have no intention of merging the "public" company at all which actually makes sense now. If you merge a non-reporting company with a reporting company the reporting company loses its reporting status. This always troubled me because of the audits. I now believe they are NOT going to do audit on UATG at all nor are they filing an S-1. This adds up because the CEO said that they may not have to do an S-1 after all. I also noticed the A/S being above 1B. This is interesting because they are including Preferred Series shares as the transfer Agent has already confirmed the a/s. I have seen DE do this regularly. This means that most of the equity in the company is in Preferred series which makes complete sense if you are doing a merger with a company you intend to maintain control of! It is my opinion that they are selling UAT and Umbra Exploration as assets. We as shareholders could do very well because in this scenario it is not uncommon for the purchasing company to pay a premium for the assets. Sometimes many multiples of their value. Of course that is speculative so we dont know.

This was one of the missing pieces and I can not believe I didnt think to check this before. Thank you Rock for pointing it out!
