F2 Broadcast Network Improves Balance Sheet; Completes Sale of Media Assets

FORT LAUDERDALE, Fla., Jul 2, 2001 (BUSINESS WIRE) -- F2 Broadcast Network Inc. (OTCBB:FTWB) At the end of April, 2001; Legend Communications of Wyoming, LLC the owner of multiple radio stations, and F2 Broadcast Network Inc. signed final documents for Legend Communications' acquisition of KGWY in Gillette, Wyoming for $1.9 million, including land, building, antennae, and licensing. Of the $1.9 million, $570,000 is in the form of a note receivable and approximately $500,000 will be used to pay existing debt related to the radio assets. The parties have executed the definitive sales agreement FCC approval was granted in early June. Closing date is set for July 31, 2001.

The company believes that the cash infusion from the sale of the radio assets, along with the sale of "The Comedy Works" comedy club; which was finalized last Friday, June 23, 2001; leaves the company virtually debt free, and allows F2 to pursue its core competence in Internet Video Production, web-casting, and software development.

"The sale of "The Comedy Works" reduced our outstanding long term obligations by approximately $350,000 and increased cash by $125,000. With the final sale of the radio assets, we will have extinguished virtually all long-term obligations and increased cash by another $400,000 net. It should be noted that KGWY was recorded as a net asset at $385,000 on the previous 10KSB. The company will now carry the note receivable of $570,000 as an asset, along with the increase in cash", said Howard Stern, CEO/President.

"The sale of these assets will result in a substantial gain of between $1.1 to $1.4 million dollars. This will have a positive effect on earnings per share in the subsequent reporting period", continued Stern.
