REVOCATION ORDER
Under the securities legislation of Alberta (the Legislation)

American Energy Partners, Inc.
Background
1. American Energy Partners, Inc. (the Issuer) is subject to a cease trade order (the CTO) issued by the Alberta Securities Commission on 4 April 2003, which was varied on 25 April 2016 and 13 December 2017 (the Variations).
2. The Issuer has requested an order under section 214 of the Securities Act (the Act) for an order revoking the CTO.
Interpretation
3. Terms defined in National Instrument 14-101 Definitions have the same meaning if used in this order, unless otherwise defined.
Representations
4. This decision is based on the following facts represented by the Issuer:
(a) The CTO was originally issued in respect of the shares of World Wise Technologies Inc., a corporation incorporated pursuant to the laws of British Columbia, continued into Ontario and subsequently dissolved.
(b) At the time of issuance, the CTO did not apply in respect of the securities of the Issuer and the Variations to the CTO subjecting the securities of the Issuer to the CTO were made in error.
(c) The Issuer met the requirements to be an OTC reporting issuer under Multilateral Instrument 51-105 Issuers Quoted in the U.S. Over-the-Counter Markets (MI 51-105) and failed to file its continuous disclosure documents required by MI 51-105.
(d) The Issuer is no longer an OTC reporting issuer under MI 51-105.
Decision
The undersigned, considering that it would not be prejudicial to the public interest to do so, orders under subsection 214(1.1) of the Act that the CTO is revoked.
