NewMarket Technology agrees to be acquired

Dallas-based NewMarket Technology Inc. has signed a letter-of-intent to be acquired in an all-stock deal with Action Products International Inc. of Orlando, Fla. But NewMarket would be the controlling company, with Action Products becoming a subsidiary.
Under terms of the deal, NewMarket's stock would be valued at no less than 50 cents a share. If the deal goes through, NewMarket's shares would move from over-the-counter bulletin board trading to the Nasdaq, where Action Products' shares trade.
NewMarket buys, develops and spins off technology companies. Action Products, which makes educational toys, would be the company's first consumer products firm.
NewMarket said the deal is expected to close by March. Its shares rose 4 cents to close at 33 cents. Shares of Action Products rose 29 cents to close at $2.28.
