I'm not sure at this point that there has been a ruling in the SEC case against Alpine. I haven't seen any ruling posted. It is mostly people speculating that the SEC coming down on Alpine will result in major changes to Alpine's approach to how it clears stock for rule 144 debt conversions for penny stocks. Quite possibly, it will, which will further the already existing trend of financiers moving away from convertible debt Notes and towards 3(a)10 debt transactions. At least until the SEC starts to scrutinize the 3(a)10 transactions which I fully expect that they will in the not too distant future.
I'm not an expert on this stuff, but that's my current understanding of the whole situation. I hope that helps.
