"There is not yet an established public trading market for our securities. Hence, there is no central place, such as a stock exchange or electronic trading system, to resell common stock. As such, stockholders will have to locate a buyer and negotiate a private sale until a market is established."

Sure does not sound like a typical IPO to me. Seems like until a market is established all sales, transfers, or dealings in shares is "private".
