So Shadel is going to come in with a fake bid claiming fiduciary responsibility, then he will offer just over that bid thinking it will cover him legally so he doesn’t need to audit or bring in a third party to do the offer... just a guess but wouldn’t put it by shady trying to pull another fast one on his co owners.
