No. Wrong. This is what a reverse merger is by definition:

“A reverse takeover or reverse merger takeover (reverse IPO) is the acquisition of a public company by a private company so that the private company can bypass the lengthy and complex process of going public. The transaction typically requires reorganization of capitalization of the acquiring company.”

None of these things are happening. If a private company partners with a public company, it doesn’t become a reverse merger.




Let's take a quick look at what you have described as a reverse merger:

1. The acquisition of a public company by a private company. --In my opinion, it appears that John Strong will bring ADTM in compliance with OTC pink sheet standards.

2. Although ADTM has a ticker symbol, and considered a public company, they have -0- revenues and haven't filed any financials since 3/31/2016. He should polish the company and restructure the AS (13,950,000,000)/OS(3,268,354,661) to make it attractive for a private company.

3. John Strong is now listed on the new PlutusX web-site as a co-founder and, the CEO of ADTM. PlutusX has now gone public with it's web-site and business plan. PlutusX is a private company with the type of operations which will require it to go public.

My contention is that ADTM will be polished, AS/OS will be reduced, and become current with OTC Pink Sheet obligations. John Strong will prepare the necessary paperwork and documentation to turn over (sell) to PlutusX at which time PlutusX will file for a new ticker which better represents the company.

I don't believe this will be a partnership between ADTM and PlutusX but a takeover or buy-out of ADTM by PlutusX. I believe this as I just don't see anything that ADTM has that PlutusX needs. Maybe I am missing something?

The only part of this operation which doesn't fit the typical Reverse Merger skeleton is that John Strong doesn't have to file for custodianship of ADTM in court as he already has control.

This is why I am in. ALL OF THIS IS IN MY OWN OPINION.
