So if Jan has something like 20m shares he personally bought, which I believe was well below the current SP then why doesn't he just use those shares, sell them, and take that money and invest in his own company rather than obtaining toxic funding with an AS increase?

Duhhhhhhhhhh...

I know a handful of startup companies where the CEO took out liens on their own homes and used there own credit card limits to start their company....
