SOUM at 350M ask with no bid. Does not make sense. Why sell shares? Why not use shares to fulfill LOI needs in buying new company (share swap) with attached restrictions of sale. Locking in the purchase and keeping the O/S low (restricted shares are not part of O/S until actually available for market sale).

Those associated with sale of new sister company would attain the right of SOUM shares at a pps cost with a high likelihood of being undervalued once the new company is configured for use under the SOUM platform. New share holders gain value that is marketable upon reaching the restricted limit date. Seemingly a logical approach barring any need for cash up front.

Is today's ask actually put forth as new issue for needed up front required cash to purchase or are the cash attained by selling new issue shares needed instead to cover current overhead requirements?

Covering overhead (keeping the lights on) does not bode well for the company. Let it not be so. SOUM should be covering their overhead operational cost via platform revenues by now. IMO.
