before the Courts of the State of New York, hereby affirms the following under the penalties of
perjury and pursuant to CPLR § 2106:
1. I am an attorney with Quinn Emanuel Urquhart & Sullivan, LLP, attorney
of record for Plaintiff Syncora Guarantee Inc. in the above-captioned action. I am familiar with
the proceedings in this case, have personal knowledge of the facts set forth herein, and respectfully
submit this affirmation in support of Plaintiff's Motion for an Order, pursuant to 22 NYCRR
520.11 and 22 NYCRR 602.2, admitting William C. Price, Esq., ,pprroo hac vice to the Supreme Court
of the State of New York, County of New York, in order to argue and try the above-captioned
action.
2. I am a member in good standing of the Bar of the State of New York, and
was admitted to practice law in this state in 2000.
3. As evidenced by the Certificate of Good Standing attached to his
accompanying affidavit, Mr. Price is an active member in good standing of the Bar of the State of
California, having been admitted to practice law in California on June 3, 1983.

4. Mr. Price's affidavit states that (a) he is familiar with, and agrees to be
bound by, the standards of professional conduct imposed upon members of the New York bar,
including the rules of court governing the conduct of attorneys and the Disciplinary Rules of the
Code of Professional Responsibility·
Responsibility, (b) he acknowledges and agrees that he shall be subject to
the jurisdiction of the courts of the State of New York with respect to any acts occurring during
the course of his participation in this matter; and (c) there are no disciplinary proceedings pending
against him in the State of California or in any other jurisdiction, nor have there ever been any
such proceedings brought against him in any jurisdiction.
5. Accordingly, I respectfully move for the admission of Mr. Price pro hac
vice and submit with this filing a proposed order granting that admission.
WHEREFORE, it is respectfully requested that this Court issue an Order, pursuant
to Section 520.11 of the Rules of the Court of Appeals and Section 602.2 of the Rules of the
Appellate Division, First Department, admitting William C. Price, Esq., pro hac vice to the
Supreme Court of the State ofNew York, County ofNew York, in order to argue and try the abovecaptioned
action, and for any further relief as this Court may deem just and proper.
