“Why risk the consequences of delinquency?”

This seems to be the concept that is hard to grasp.

...and it hinges on some bizarre notion that while the company could be ready to submit two years of audited fins in short order...it’s much better the get that nasty stop sign down now...and screw around with the SEC in the process. Lol.
