They are a delinquent SEC filer that has just indicated they intend to de-register. They also recently filed Reg S-X 8K financials for an acquisition and the “auditor” is NOT a US based PCOAB auditor.

Therefore those Reg S-X financials do not meet the auditing standard required under the regulation.
